TuanChe Limited Announces Results of Annual General Meeting of Shareholders
- The removal of Mr. Hongchuan Thor from the Board and from the audit committee of the Board; Ms.
Yu Longfrom the Board and from the nominating and corporate governance committee of the Board; Mr. Yang Zhaofrom the Board and from the compensation committee of the Board; Mr. Yaping Yaofrom the Board and from the audit committee and the compensation committee of the Board; and Ms. Wendy Hayesfrom the nominating and corporate governance committee of the Board;
- The appointment of Mr.
Zijing Zhouas an independent Director of the Board, and as a member of the nominating and corporate governance committee, the audit committee, and the compensation committee of the Board; Mr. Zhishuo Liu as a member of the audit committee of the Board; and Mr. Wei Wenas a member and chair of the compensation committee and the nominating and corporate governance committee of the Board;
- The ratification of the appointment of
PricewaterhouseCoopers Zhong Tian LLPas the independent registered public accounting firm for the fiscal year ending December 31, 2019; and
- The amendment of Article 90(c) of the Seventh Amended and Restated Articles of Association of TuanChe Limited to read “No person shall, unless recommended by the Directors for election, be eligible for election as a Director at any general meeting.”
